Pixlel Pro White Label Partnership Agreement
This Partnership Agreement (“Agreement”) is entered into between Pixlel, Inc. (“Company”) and the applicant (“Partner”) as of the date the Partner accepts these terms.
1. Purpose
This Agreement outlines the terms under which the Partner participates in the Pixlel Pro White Label Program, allowing the Partner to build, sell, and manage websites using Pixlel’s platform under their own brand.
2. Relationship of Parties
The Partner operates as an independent business entity. Nothing in this Agreement shall be construed as creating an employer-employee relationship, joint venture, or legal partnership between Pixlel and the Partner.
3. Program Structure
Under this Agreement, the Partner is granted the right to:
- Build and manage client websites using Pixlel’s platform
- White label services under their own branding
- Set their own pricing and charge clients directly
- Retain all revenue collected from clients beyond Pixlel’s platform fees
Pixlel will not directly engage with the Partner’s clients unless otherwise agreed in writing.
4. Fees & Payment Terms
- Partner agrees to pay Pixlel a fee per published website per month at the current Pro Partner rate (currently $49/month per published site, subject to update).
- Payments are billed monthly and must be paid on time to maintain active services.
- Late or missed payments may result in suspension or termination of access.
5. Partner Responsibilities
The Partner agrees to:
- Act as the primary point of contact for all clients
- Provide customer support, communication, and relationship management
- Accurately represent services and capabilities
- Operate ethically and in compliance with all applicable laws
6. Branding & White Labeling
- Partner may fully rebrand Pixlel services as their own
- Pixlel branding may be removed where applicable
- Partner may not use Pixlel’s name, trademarks, or branding publicly without written permission
7. Restrictions
The Partner agrees not to:
- Reverse engineer, copy, or resell the Pixlel platform
- Use the platform for unlawful, harmful, or deceptive purposes
- Misrepresent Pixlel’s technology or capabilities
- Engage in spam or unethical marketing practices
8. Intellectual Property
Pixlel retains all ownership of its platform, software, and technology. The Partner retains ownership of their branding, pricing, and client relationships.
9. Term & Termination
- This Agreement remains in effect until terminated by either party.
- Either party may terminate at any time with written notice (7–30 days).
- Pixlel reserves the right to terminate immediately in cases of misuse or violation.
10. Limitation of Liability
Pixlel shall not be liable for any indirect, incidental, or consequential damages arising from the Partner’s use of the platform or participation in the Program.
11. Governing Law
This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania.
12. Entire Agreement
This document constitutes the full agreement between the parties and supersedes all prior agreements or understandings.
Program Rules & Compliance
- Partners operate as independent businesses, not employees or agents of Pixlel.
- You may brand and sell Pixlel services as your own, but may not misrepresent platform capabilities.
- No false, misleading, or deceptive claims in sales or marketing.
- No spam, unsolicited outreach, or unlawful marketing practices.
- Partners may not bid on Pixlel-branded search terms without written approval.
- Pixlel reserves the right to revoke access for violations of these guidelines.
- Pixlel may update program terms at any time.
Acknowledgement
By clicking “I Agree & Submit Application,” the Partner acknowledges they are responsible for all client relationships, billing, and communication, and that Pixlel operates solely as a backend platform provider. The Partner further agrees to all terms of this Agreement.
