Pixlel Pro White Label Partnership Agreement
This Pixlel Pro White Label Partnership Agreement (“Agreement”) is entered into by and between Pixlel, Inc. (“Company”) and the undersigned Partner (“Partner”) as of the Effective Date of acceptance.
This Agreement governs the Partner’s participation in the Pixlel Pro White Label Program (“Program”), under which the Partner may build, manage, and sell websites using Pixlel’s platform under the Partner’s own brand.
The Partner is an independent contractor and operates as a separate business entity. Nothing in this Agreement shall be deemed to create any employer-employee relationship, joint venture, partnership, or agency relationship between the parties.
The Partner has no authority to bind or act on behalf of Pixlel in any capacity.
Subject to the terms of this Agreement, Pixlel grants the Partner a non-exclusive, non-transferable right to:
Pixlel will not directly communicate with or service the Partner’s clients unless otherwise agreed in writing, except for platform support purposes or if a client initiates contact with Pixlel directly.
Platform Fee. The Partner agrees to pay Pixlel $49/month per published website (subject to change with 30 days’ advance written notice). Fees are billed monthly and must be paid in full to maintain active services.
Late Payments. Failure to make timely payments may result in suspension of websites, loss of platform access, or termination of this Agreement. Pixlel reserves the right to charge late fees or pursue collection if necessary.
The Partner may perform Pro Support services, billed to the client at a Pro Support rate, with a portion paid to the Partner and a portion retained by Pixlel. Pro Support is billed in hourly and half-hour increments. The applicable rates and revenue split are set out in the Partner’s current terms and may be updated or individually negotiated from time to time.
Pro Support participation is independent of maintaining active websites on the platform. Partners may perform Pro Support services regardless of the number of active sites they currently manage.
Pixlel reserves the right to review and reasonably verify all submitted hours, including requesting supporting documentation where appropriate, and will not unreasonably withhold or delay approval. Payment for approved Pro Support hours will be issued within a standard monthly payment cycle (typically within 30 days of submission), consolidated with commission payments into one lump sum per month.
Billable Pro Support services may include, but are not limited to, client consultation calls, website edits and updates, design revisions, technical troubleshooting, onboarding assistance for Pixlel-assigned clients, and other services performed at the request of the client or Pixlel.
A client brought to a Pro Partner by Pixlel must first purchase billable hours (in 30-minute increments) through Pixlel. Pro Partners must work only within the hours the client has purchased and are responsible for requesting additional paid hours from the client as needed. The Partner will self-report hours worked in the format specified by Pixlel (available through the Partner dashboard), drawn from the pool of hours purchased by the client.
The Partner is eligible for a 30% monthly commission for 18 months on Pixlel-generated leads assigned to the Partner. Commissions apply only to qualified Pixlel-generated leads and are contingent upon the client remaining active and paying, and the Partner remaining in good standing.
Commission Exclusions. The Partner will not receive commission where: (1) the website/client was acquired through an affiliate; (2) the client originates from a discounted partnership program (including but not limited to Chamber of Commerce partnerships); or (3) the client qualifies as a nonprofit organization. In these cases, Partners may still earn applicable Pro Support compensation.
Pixlel retains final authority on lead source classification but will provide written designation of lead type at the time of assignment for transparency. Partners may raise concerns about any classification in good faith, and Pixlel agrees to review such concerns reasonably. Commission payments are issued within a standard monthly payment cycle (typically within 30 days), consolidated with Pro Support payments into one lump sum per month.
The Partner agrees to:
Technical Support Exception. The Partner is responsible for all client-facing communication and issue resolution except where the issue is strictly technical and directly related to the Pixlel platform. In such cases the Partner must act as the intermediary between the client and Pixlel; Pixlel may provide backend technical support at its discretion; and Pixlel is not responsible for direct client communication unless otherwise agreed in writing. The Partner remains responsible for managing the client relationship at all times, including communicating updates, timelines, and resolutions.
Pixlel agrees that, during the term of this Agreement, it will not directly solicit the Partner’s independently sourced clients for competing services. This restriction does not apply to platform support communications initiated by Pixlel for technical or operational reasons, or to clients who independently contact Pixlel directly. As clients are not expected to be aware of Pixlel’s role as a backend platform provider, direct client contact by Pixlel is expected to be uncommon.
The Partner agrees not to:
Pixlel retains all rights, title, and interest in and to its platform, software, and technology. The Partner retains ownership of their branding, their pricing structure, and their direct client relationships.
This Agreement remains in effect until terminated.
Upon termination: access to the platform may be revoked; outstanding fees remain due; all approved and accrued Pro Support compensation and commission amounts will be paid out in accordance with the standard payment cycle; and future commission eligibility for Pixlel-generated leads may be forfeited at Pixlel’s discretion.
To the maximum extent permitted by law, Pixlel shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, profits, or business opportunities arising from participation in the Program. Pixlel provides the platform “as is” without warranties of any kind.
The Partner agrees to indemnify and hold harmless Pixlel from any claims, damages, liabilities, or expenses arising from the Partner’s business activities, client disputes, misrepresentations, or violations of law or this Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.
Pixlel reserves the right to update or modify this Agreement at any time with 30 days’ advance written notice for any material changes. If a modification materially impacts the Partner’s participation in the Program, the Partner will have the option to exit the Agreement prior to those changes taking effect. Continued participation in the Program following the notice period constitutes acceptance of updated terms.
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings.
